Senior Paralegal

Job Description

The Oneida Indian Nation is looking for an experienced, highly motivated Senior Paralegal to join our evolving in-house legal team.  In this role, you will partner with in-house attorneys on a broad range of matters relating to the Oneida Indian Nation government and its businesses, including Turning Stone Resort Casino, YBR Casino & Sports Book, Point Place Casino, The Lake House, and SavOn and Maple Leaf Market Convenience stores. 

You will be primarily responsible for providing legal and administrative support on all matters including, commercial contracts, corporate governance, intellectual property, corporate transactions, and general corporate and organization-wide projects. The role requires outstanding organizational skills and attention to detail with the ability to operate independently in a fast-paced work environment and handle numerous projects simultaneously.  This is an exciting opportunity to provide organizational and substantive support to the Oneida Indian Nation’s legal team and key business partners. 

Duties & Responsibilities:

  1. Contract administration and management and drafting, reviewing, and negotiating commercial agreements and documents.
  2. Legal support for entertainment, hospitality and gaming operations with respect to entertainment and other events, advertising, and promotions and contests.
  3. Serve as custodian of, and draft and assist with the preparation of, corporate records (i.e., bylaws, operating agreements, minutes, resolutions, etc.) and support the maintenance of subsidiary entity activity, jurisdictional qualifications to do business, and related entity and corporate governance items.
  4. Support attorneys in corporate transactions and assist with due diligence efforts, document preparation, and closing logistics.
  5. Assist with special projects as needed.
  6. Build productive relationships and feedback loops with the Legal, business and other support teams to drive efficiencies.
  7. Document and monitor tasks and deadlines, and take appropriate action to ensure compliance.
  8. Responsibilities may change with time and expand upon aptitude and abilities.
  9. Perform other duties as assigned.

Job Requirements

  1. Bachelor’s degree and paralegal certification preferred.
  2. Minimum 3 years’ experience as a corporate paralegal.
  3. Strong contract drafting and review skills; ability to manage contracts through the contract life-cycle with a focus on efficient workflow.
  4. Experience with maintenance of corporate books and records.
  5. Strong verbal and interpersonal communication skills.
  6. Strong organizational and follow-up skills.
  7. High attention to detail and ability to maintain confidentiality.
  8. Excellent writing, proofreading and spelling skills.
  9. Ability to prioritize and multitask successfully in a high matter volume, demanding environment, and work under pressure and both independently and as part of a team.
  10. Proficient in MS Word, Adobe Acrobat, Excel, Access, PowerPoint and legal document software.
  11. Proficient in legal research, including use of Westlaw, Lexis-Nexis and internet services.

 

Physical Requirements and Working Conditions:

  1. Repetitive motion of the hands, wrists and fingers for the continuous and frequent use of the computer, telephone, copiers, fax machine and other office equipment.
  2. Must be able to move freely about the office in the performance of duties and responsibilities.
  3. Ability to occasionally exert up to 10 lbs of force in order to lift, carry, push, pull or otherwise move objects in the performance of duties and responsibilities.
  4. Must have the ability to sit for long periods of time.
  5. Must have close visual acuity for the purpose of viewing computer monitor, extensive reading, transcribing and analyzing data.
  6. Must have acute speech and hearing for frequent interaction with internal and external customers both in person and over the phone.
  7. No substantial exposure to adverse environmental conditions (indoor office setting).
